Terms of Service

1. Account Terms

By creating an account, you represent that you are at least 18 years old and that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms or applicable law. Accounts are granted to organizations, not individuals, and the organization is responsible for its users' compliance.

2. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not use the Services to store, transmit, or distribute illegal content, malware, or material that infringes on third-party rights. You may not attempt to circumvent access controls, probe for vulnerabilities, or disrupt the integrity of the Services. You may not use the Services for competitive analysis or to build a competing product. We reserve the right to remove content that violates these terms.

3. Payment Terms

Fees are billed in advance on a monthly or annual basis, as selected during signup. The Professional plan is billed per active matter as described on our Pricing page. Enterprise plans are billed according to the terms in your Order Form. All fees are non-refundable except as expressly stated in these Terms. We may change our fees with 30 days notice. Late payments may result in service suspension. You are responsible for all applicable taxes.

4. Data Ownership and Intellectual Property

You retain all ownership rights to the content you upload to the Services. Lawden claims no intellectual property rights over your data. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term. The Services, including their underlying technology, design, and branding, are the intellectual property of Lawden, Inc. You may not reproduce, modify, or create derivative works of the Services without our express written consent.

5. Limitation of Liability

To the maximum extent permitted by law, Lawden, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you have paid us in the twelve months preceding the claim. This limitation applies whether the claim is in contract, tort, or any other legal theory.

6. Service Level and Warranties

We strive to provide a reliable, available service but do not guarantee that the Services will be uninterrupted or error-free. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Our SLA commitments are detailed in a separate Service Level Agreement available for Enterprise customers.

7. Termination

Either party may terminate these Terms at any time. If you terminate your account, your data will be retained for 30 days and then permanently deleted. We may terminate or suspend your access immediately if you materially breach these Terms. Upon termination, your right to use the Services ceases immediately. Sections 4 (Data Ownership), 5 (Limitation of Liability), and 8 (Governing Law) survive termination.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco, California. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

9. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Services. Your continued use of the Services after the effective date of the modified Terms constitutes acceptance. If you do not agree to the modified Terms, you may terminate your account.
